SITE (THE “SITE”) IS SUBJECT TO THE FOLLOWING TERMS OF SERVICE TOGETHER
WITH THE PRIVACY POLICY POSTED BY CREATIVEHUB (COLLECTIVELY,
THIS DOCUMENT AND THE PRIVACY POLICY ARE THE “TERMS”).
CLICKING THE “ACCEPT” BUTTON
DURING THE SIGNUP PROCESS OR OTHERWISE USING THE SITE CONSTITUTES YOUR ACCEPTANCE OF THESE
TERMS. IF YOU DO NOT EXPRESSLY ACCEPT THESE TERMS BY CLICKING
THE “ACCEPT” BUTTON, YOU ARE NOT AUTHORIZED TO USE THE SITE AND
YOU WILL NOT BE PROVIDED ACCESS TO THE SECURE AREAS OF THE SITE.
CREATIVEHUB, LLC (“CREATIVEHUB”)
MAY REVISE THESE TERMS, INCLUDING THE PRIVACY POLICY, AT ANY TIME WITH
OR WITHOUT NOTICE BY POSTING THE REVISED TERMS ON THE SITE, OR BY SENDING
THE REVISED TERMS TO YOU. IN THE EVENT OF A CONFLICT BETWEEN THESE
TERMS AND THE PROVISIONS OF ANY APPLICABLE WRITTEN AGREEMENT BETWEEN
YOU AND CREATIVEHUB, LLC, THE TERMS OF THE WRITTEN AGREEMENT SHALL CONTROL.
- LICENSE
- Description of Site:
Through CreativeHub.com, CreativeHub, LLC (“CreativeHub”) provides individuals (“Members”) on behalf of themselves and the businesses
they are authorized to represent (each, a “Company”) with the opportunity to contribute unique and
original content in response to various Projects (each, a “Project”)
initiated by CreativeHub clients (the “Advertiser(s)”). Once a Member has registered for the
Site, the Member may choose a particular Project, and contribute
comments, text, video, artwork, graphics, photographs and other items
(the “Contribution”)
for review by each Advertiser.
CreativeHub.com also acts as
a venue where Advertisers and/or Members may post job or other project
opportunities (collectively, the “Opportunities”) to the Site and where Members may post resumes,
and search and respond directly to such Opportunities. CreativeHub
acts as a passive conduit for the online distribution and publication
of the Projects and the Opportunities and is not an employer.
CreativeHub is not responsible for any employment or other decisions
made by any person or entity posting Opportunities to the Site nor is
it responsible for the truthfulness or accuracy of Member’s resumes or Profiles (defined below).
The term “You” or “User” as used herein refers to Members and any other
person or entity accessing CreativeHub.com for any reason. Members
are responsible for obtaining access to the Site and that access may
involve third-party fees (such as ISP charges). In addition, Members
must provide and are responsible for all equipment necessary to access
the Site.
- Eligibility and Account
Registration. You must be at least 18 years of age, or the
age of majority as that is defined in your jurisdiction (whichever is
older), to visit or use the Site in any manner. By visiting CreativeHub.com
or accepting these Terms, You represent and warrant to CreativeHub that
You have reached the age of majority in your jurisdiction, and that
You have the right, authority and capacity to agree to and abide by
these Terms. You also represent and warrant that You will use
CreativeHub.com in a manner consistent with any and all applicable laws
and regulations.
During registration, You will
be asked to provide certain personal information, including a valid
email address, and create an individual profile (“Profile”). You are required to provide accurate,
complete and current information about yourself in all required fields.
Should any such information change after submitting it to the Site,
You are required to update that information as soon as possible.
Should CreativeHub suspect that your personal information is not complete,
current or accurate, your account may be subject to suspension or termination
at CreativeHub’s sole discretion. Information You submit
will be used in accordance with CreativeHub’s Privacy Policy
[insert link].
You are responsible for maintaining
the confidentiality of your password and your other confidential information.
You agree: (a) not to provide your password to any third party;
(b) not to allow any third party to access your account, other than
as provided for herein; (c) to immediately notify us of any unauthorized
use of your account or any other breach of security; and (d) that You
will establish and maintain only one CreativeHub account or Profile
for each individual at a time.
- Site License:
Subject to these Terms, if You register for the Site, CreativeHub hereby
grants You a limited non-exclusive, non-transferable license (without
the right to sublicense or redistribute) to use the Site, solely for
your personal and professional purposes and solely for the purpose of
accessing and using the Site in accordance with these Terms. Use
of the Site is governed by the Terms current at the time of your use.
The Terms may be revised from time to time by CreativeHub in its sold
discretion.
- Security. You
shall be held responsible for any breaches of security by You or anyone
using your account. You shall assist CreativeHub to enjoin any
conduct in violation of these Terms by any one, including any of your
agents or assigns.
- Authorized Users:
You may access and/or use the Site only if You have agreed to these
Terms and have been registered and authorized by CreativeHub to use
the Site. If You are using the Site on behalf of a Company (regardless
of whether it is a corporation or other type of entity), you represent
that You have the authority to enter into this Agreement, and use and
license the use of the Site, on behalf of your Company, and that You
are using your account, and the unique password assigned to You.
As noted above, You are responsible for maintaining the confidentiality
of your account and password, and for restricting access to your account.
You are responsible for all activities that occur under your account
or password. In addition, You agree that in using the Site You
shall not violate any law, regulation or governmental order. You
acknowledge that CreativeHub has the right, but not the obligation,
to periodically audit your use of the Site to ensure your compliance
with these Terms and applicable laws. You agree to immediately
notify CreativeHub of any unauthorized use of your account or any other
breach of security of which you become aware.
- LICENSEE REPRESENTATIONS
AND WARRANTIES
You
represent and warrant that You will not use the Site to:
- Submit a Contribution that
You do not have a right to make available under any law or under any
contractual or fiduciary relationships;
- Submit a Contribution that
infringes any patent, trademark, trade secret, copyright or other intellectual
property or other proprietary rights of any party;
- Submit a Contribution or any
other material that contains software viruses or any other computer
code that interrupts, destroys or limits the functionality of any computer
software or hardware or telecommunications equipment;
- Submit a Contribution or any
other material that is unlawful, fraudulent, harassing, libelous or
obscene;
- Submit a Contribution that
includes the image of a model without first obtaining the written consent
of such model to utilize the model’s image in perpetuity with respect
to the Contribution;
- Knowingly interfere with or
attempt to interfere with the proper working of the Site;
- Knowingly take any action
which imposes an unreasonable or disproportionately large load or burden
on the Site; or
- Intentionally or unintentionally
violate any applicable local, state, national or international law,
regulation or order.
- SPECIFIC PROHIBITED USES
- The position posting, resume
and Profile databases and other such features of CreativeHub.com may
be used only for lawful purposes by Members seeking employment or other
work, Companies seeking employees or independent contractors, and Members
seeking to network for personal or professional purposes with other
Members.
- CreativeHub specifically prohibits
any other use of CreativeHub.com, and all Members agree not to do any
of the following: (a) post any classifieds on the Site for any competitor
of CreativeHub or post classifieds or other content that contains links
to any site competitive with CreativeHub; (b) post classifieds or content
on the Site that contain hyperlinks, “hidden” keywords or keywords that are irrelevant to
the job or are otherwise misleading; (c) post classifieds for modeling
or similar positions on the Site; (d) use any CreativeHub resume or
Profile database for any purpose other than as a Member of Company seeking
employees or independent contractors, including but not limited to using
the information in any resume or profile database to sell or promote
any products or services; (e) use the Site for commercial recruitment,
executive search, staffing, outsourced employment or any other professional
employment or recruitment activity; (f) post or submit to the Site any
incomplete, false or inaccurate biographical information or information
which is not your own; (g) send unsolicited mail or e-mail, make unsolicited
phone calls or send unsolicited faxes regarding promotions and/or advertising
of products or services to any Member of the Site; (h) delete or revise
any material posted by any other person or entity; (i) take any action
that imposes an unreasonable or disproportionately large load on any
the Site’s infrastructure; (j) notwithstanding anything to the contrary
contained herein, use or attempt to use any engine, software, tool,
agent or other device or mechanism (including without limitation browsers,
spiders, robots, avatars or intelligent agents) to navigate or search
the Site other than the search engine and search agents available from
CreativeHub on the Site and other than generally available third party
web browsers (e.g., Internet Explorer, Firefox, Safari); (k) decipher,
decompile, disassemble or reverse engineer any of the software comprising
or in any way making up a part of the Site; (l) aggregate, copy or duplicate
in any manner any of the content or information available from the Site,
without prior written consent from CreativeHub; or (m) frame or link
to any content or information available from the Site.
- CreativeHub does not monitor
any materials posted, transmitted, or communicated to or within the
Site. If You believe that something on the Site violates these Terms,
please contact our designated agent set forth in Section F below.
- If notified by a Member or
other person of content or other materials that allegedly do not conform
to these Terms, CreativeHub may, in its sole discretion, investigate
the allegation and determine whether to take any other actions or whether
to remove or request the removal of the content. CreativeHub has no
liability or responsibility to Members for performance or nonperformance
of such activities.
- CONFIDENTIALITY
You shall not disclose, directly
or indirectly, to any third party any portion of any confidential information
provided to you by CreativeHub (“Confidential Information”), including without limitation the confidential
information posted by other Members of the Site or the Sites, without
the prior written consent of CreativeHub. You shall not use or
exploit such Confidential Information in any way except as permitted
in writing by CreativeHub. You shall promptly return or destroy
all materials containing such Confidential Information upon request
of CreativeHub and shall take all necessary precautions to protect the
confidentiality of such Confidential Information and exercise at least
the same degree of care in safeguarding such Confidential Information
as You would with your own confidential information, but in no event
less than a reasonable standard of care. For purposes of this
Section D, Confidential Information shall not include any information
that is in the public domain prior to its disclosure to You by CreativeHub,
or that enters the public domain through no breach by You of any implied
or express confidentiality agreement or provisions, nor any breach of
any fiduciary duties.
CreativeHub respects the privacy
of all information that Members provide to CreativeHub and shall use
such information solely for the operations of CreativeHub. Specific
policies regarding the use of such information are set forth in the
CreativeHub Privacy Policy.
- FEES AND OTHER CONSIDERATION
- Consideration - Publicity:
In consideration of the license granted hereunder, You agree to permit
CreativeHub to use your name and trademarks to identify You and your
Company (if any) as users of the Site, including without limitation
on CreativeHub’s affiliated web sites, in CreativeHub’s marketing
materials, and in other sales and marketing activities. CreativeHub
agrees to cooperate with You and your Company in reasonable publicity
efforts, such as, for example, media releases and marketing materials
in accordance with your reasonable requests.
- Additional Consideration:
In further consideration of the license granted hereunder, You agree
to permit CreativeHub to post or redistribute any Contribution, subject
to your Intellectual Property Rights, as described in these Terms.
CreativeHub will at all times comply with its Privacy Policy
and will use commercially reasonable efforts to protect your identity
in any such posting or redistribution.
- Use of the Contribution
by Advertisers. In the event an Advertiser would like to use
or license your Contribution or any part thereof,
such Advertiser will contact you directly to reach any agreement for
use. You acknowledge that CreativeHub seeks to connect Users with
interested Advertisers and that CreativeHub will use its reasonable
efforts to do so. CreativeHub neither warrants nor guarantees
that You will be successful in reaching an agreement with an Advertiser
related to your Contribution.
- INTELLECTUAL PROPERTY RIGHTS
- General: CreativeHub
holds and retains all right, title and interest in and to the Site,
the related source code, any and all modifications to or derivative
works of the Site, and any and all associated patents, copyrights, and
other intellectual property rights therein.
- Your Intellectual Property:
You retain all right, title and interest in anything you create and
contribute to the Site. CreativeHub makes no claim to your Contribution
and you may use it in any way that you please. Any
agreement that any Member reaches with any Advertiser is solely between
the Member and the Advertiser, and each of the Member and the Advertiser
indemnify and hold CreativeHub harmless in the event of any dispute
between the Member and the Advertiser, or any dispute with any third
party arising out of the Member's or the Advertiser's use of this Site
or any Contribution.
- Third Party Web Sites:
The Site may link to or otherwise allow access to web sites that are
owned and/or operated by third parties and are not under CreativeHub’s
control (“Third Party Sites”). You acknowledge and agree that CreativeHub
provides such links to Third Party Sites only as a convenience and the
existence of any link does not imply endorsement by CreativeHub of any
Third Party Site or any part of its content or any products or services
available through that Third Party Site.
- The Site and Contribution:
Neither CreativeHub nor Advertisers are under a duty to use or publish
the Contribution in any form or at any time. CreativeHub may publish
and use your Contribution to a Project on the Site to further CreativeHub’s
business purposes. However, CreativeHub
will not publish or use your Contribution outside of the Site without
your express permission.
- Injunctive Relief:
You hereby acknowledge and agree that the Site is proprietary and confidential
to CreativeHub and that the Site contains valuable CreativeHub trade
secrets, the disclosure of which would cause CreativeHub irreparable
harm for which monetary compensation would be inadequate. You therefore
further agree that if You breach your obligations under these Terms,
CreativeHub shall be entitled to seek injunctive relief from a court
of competent jurisdiction without the need to post any bond or demonstrate
actual damages.
- Notice and Procedure For
Making Claims of Copyright or Intellectual Property Infringement:
CreativeHub respects the intellectual property of others, and we ask
our Members to do the same. CreativeHub may, in appropriate circumstances
and at its discretion, modify, disable and/or terminate access to the
Site by You or your Company in the event of claims or suspicion of infringement
of copyright or other rights, including without limitation upon receipt
of a notice alleging that You or another person in your Company has
infringed their copyright or other rights (“Takedown Notice”).
Similarly, if You believe that the copyrights in your works have been
infringed by another Member of the Site, or if you believe that any
other intellectual property rights or other rights have been otherwise
violated or infringed, please provide the copyright agent for CreativeHub
the following information: (a) an electronic or physical signature of
the person authorized to act on behalf of the owner of the copyright
or other intellectual property interest; (b) a description of the copyrighted
work or other intellectual property that you claim has been infringed;
(c) a description of where the material that You claim is infringing
is located; (d) your postal address, street address, telephone number,
and email address; (e) a statement by You that You have a good faith
belief that the disputed use is not authorized by the copyright owner,
its agent, or the law; (f) a statement by You that the above information
in your Takedown Notice is accurate and that You are the copyright or
intellectual property owner or authorized to act on the copyright or
intellectual property owner’s behalf. CreativeHub’s agent
for notice of claims of copyright or other intellectual property infringement

- TERM AND TERMINATION
- These Terms shall become effective
on the date of your first use of the Site and shall remain in full force
and effect until terminated under this Section G.
- CreativeHub may terminate
your license to the Site (including your access to the Site) at any
time without notice in the event that You violate these Terms.
You may terminate this Agreement by providing written notice to CreativeHub
at any time. Upon termination for any reason, You shall immediately
cease use of the Site. All other provisions of these Terms shall
survive any such termination.
- Upon termination of this Agreement
by You or CreativeHub for any reason or no reason, CreativeHub may in
its sole discretion keep or delete all of the Contributions on the Site
and all other data You have provided, directly or indirectly.
You hereby release and hold CreativeHub harmless for any loss of data
You may suffer as a result of the deletion of any Contributions or other
data or materials.
- NO WARRANTY
- THE SITE AND CREATIVEHUB’S
SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS
OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SPECIFICALLY,
CREATIVEHUB DOES NOT WARRANT THAT YOU WILL HAVE ACCESS AT ALL TIMES
TO THE SITE AND CREATIVEHUB DOES NOT WARRANT THAT THE SITE OR ANY CREATIVEHUB
SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SITE
WILL BE UNINTERRUPTED OR ERROR-FREE. FURTHER, CREATIVEHUB MAKES
NO WARRANTIES AS TO YOUR HIRING BY MEMBERS OF AND/OR ADVERTISERS ON
THE SITE.
- CREATIVEHUB PROVIDES STORAGE
OF THE CONTRIBUTION SOLELY FOR PURPOSES RELATED TO THE SITE. YOU
ARE SOLELY RESPONSIBLE FOR SEPARATE STORAGE AND BACK-UP OF ANY CONTENT
THAT YOU STORE OR OTHERWISE CONTRIBUTE TO THE SITE. ANY SUCH CONTENT
ON THE SITE IS STORED AT YOUR OWN RISK AND CREATIVEHUB EXPRESSLY DISCLAIMS
RESPONSIBILITY FOR ANY LOSS OF DATA THAT RESULTS FROM THE STORAGE OF
ANY SUCH MATERIAL ON THE SITE, REGARDLESS OF HOW THE LOSS OCCURS.
NO CONTENT OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU
FROM CREATIVEHUB OR THROUGH OR FROM THE SITE SHALL CREATE ANY WARRANTY.
- LIMITATION OF LIABILITY
- CreativeHub.com acts a venue
for Companies and Advertisers to post Opportunities and Members to post
resumes and Profiles, and it does not screen or censor any postings.
CreativeHub is not involved in any transactions between Companies and
Members. As a result, CreativeHub has no control over content,
the quality, safety or legality of the Opportunities or resumes posted,
the truth or accuracy of the listings, the ability of Companies to offer
opportunities to Members, or the truthfulness of Profiles or User content
on the Site. CreativeHub may take any action with respect to Member
content that it deems necessary or appropriate in its sole discretion
including without limitation if such content could cause damage to CreativeHub’s
brand or public image, or cause CreativeHub to lose (in whole or in
part) the services of its Advertisers, ISPs or other affiliates.
While CreativeHub reserves the right in its sole discretion to remove
Member content, Opportunities, resumes, Profiles or other material from
CreativeHub.com from time to time, CreativeHub does not assume any obligation
to do so and disclaims any liability for failing to take any such action
to do so.
CreativeHub.com also provides
a venue for Members to network for personal and professional purposes
and CreativeHub does not screen or censor Profiles or Member content
on the Site. CreativeHub is not involved in the actual communications
among Members. As a result, CreativeHub has no control over the
accuracy, reliability, completeness, or timeliness of the information
or Member content submitted on the Site and makes no representations
about any information or Member content on the Site.
In addition, there are risks,
including but not limited to, the risk of physical harm, of dealing
with strangers, underage persons or people acting under false pretenses.
You assume all risks associated with dealing with other Members with
whom you come in contact through CreativeHub.com. By its very
nature, other people’s
information may be offensive, harmful, or inaccurate, and in some cases
will be mislabeled or deceptively
labeled. We expect that You will use caution and common sense
when using CreativeHub.com.
Because authentication on the
Internet is difficult, CreativeHub cannot and does not confirm that
each Member is who they claim to be. Because we do not and cannot
be involved in Member-to-Member dealings or control the behavior of
Members on the Site, in the event that You have a dispute with one or
more Members, You release CreativeHub (and our agents and employees)
from claims, demands and damages (actual and consequential and direct
and indirect) of every kind and nature, known and unknown, suspected
and unsuspected, disclosed and undisclosed, arising out of or in any
way connected with such disputes.
If You are a California resident,
You waive California Civil Code Section 1542, which says: “A
general release does not extend to claims which the creditor does not
know or suspect to exist in his or her favor at the time of executing
the release, which if known by him or her must have materially affected
his or her settlement with the debtor.”
The Site may contain inaccuracies
or typographical errors. CreativeHub makes no representations
about the accuracy, reliability, completeness, or timeliness of the
Site or any content, including without limitation any CreativeHub content,
Member content, Advertiser content, or other materials. The use
of the Site is at your own risk. Changes are periodically made
to the Site and may be made at any time. You acknowledge and agree
that You are solely responsible for the form, content, and accuracy
of any resume or material contained therein placed by you on the Site.
Members, Advertisers and Companies are solely responsible for their
postings on the Site. CreativeHub is not to be considered an employer
with respect to your use of the Site and CreativeHub shall not be responsible
for any hiring decisions, for whatever reason, made by any individual
or entity posting Opportunities on the Site.
CreativeHub cannot guarantee
and does not promise any specific results from use of CreativeHub.com.
No advice or information, whether oral or written, obtained by a Member
or User from CreativeHub or through or from CreativeHub.com shall create
any warranty not expressly stated herein.
CreativeHub makes no claims that
the Site or its content may be lawfully viewed or accessed outside of
the United States. Access to the Site or its content may not be
legal by certain persons or in certain countries. If You access
the Site from outside of the United States, You do so at your own risk
and are responsible for the compliance with the laws of your jurisdiction.
- TO THE MAXIMUM EXTENT PERMITTED
BY APPLICABLE LAW AND NOTWITHSTANDING THE FAILURE OF ANY REMEDY TO FULFILL
ITS ESSENTIAL PURPOSE: IN NO EVENT SHALL CREATIVEHUB, CREATIVEHUB’S
OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR DISTRIBUTORS BE LIABLE TO
YOU OR ANY OTHER PARTY FOR ANY LOSS OR DAMAGES ARISING FROM OR RELATED
TO THE USE OF THE SITE, HOWSOEVER ARISING, OR ANY DAMAGES RELATED TO
THESE TERMS IN EXCESS OF THE AMOUNT OF FEES PAID HEREUNDER, IF ANY,
IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM
OR $100, WHICHEVER IS GREATER; AND, IN NO EVENT SHALL CREATIVEHUB, CREATIVEHUB’S
OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR DISTRIBUTORS BE LIABLE FOR
ANY INDIRECT, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING
WITHOUT LIMITATION, LOSS OF PROFITS, HOWSOEVER ARISING, EVEN IF INFORMED
OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING ALLOCATION OF
RISK IS REFLECTED IN ANY FEES CHARGED UNDER THESE TERMS.
- INDEMNIFICATION
You shall defend, indemnify and hold
harmless CreativeHub, its affiliates, and their respective officers,
directors, employees and agents from and against all losses, claims,
suits and expenses of any kind and description, including, without limitation,
losses, claims, suits and expenses arising out of or in connection with
property damage, or bodily injuries or death sustained by any person
or persons whatsoever, which may result from or arise in connection
with (i) your use of the Site or (ii) your breach of the Terms of this
agreement. CreativeHub will provide notice to You of any such
claim, suit or proceeding.
- DISPUTE RESOLUTION
In the event of a dispute between
You and CreativeHub, such dispute shall be resolved by binding arbitration
under the Commercial Arbitration Rules and auspices of the American
Arbitration Association by one arbitrator in Philadelphia, Pennsylvania.
The foregoing shall not prevent either party from seeking preliminary
injunctive relief in a court of competent jurisdiction. Any decision
of the arbitrator shall be final and binding on the parties, and enforceable
in any court of competent jurisdiction.
- CHOICE OF LAW AND FORUM
These Terms shall be governed for
all purposes by the laws of the Commonwealth of Pennsylvania, excluding
choice of law provisions. Subject to the provisions of the foregoing
Section K, any action or proceeding seeking to enforce any provision
of, or based on any right arising out of, these Terms may be brought
against You or CreativeHub in the Federal or State Courts in and for
Philadelphia, Pennsylvania. You and CreativeHub each consent to
the exclusive jurisdiction and exclusive venue of such courts in any
such action or proceeding and waive any objection to venue laid therein.
Process in any action or proceeding referred to in the preceding sentence
may be served on either party to these Terms anywhere in the world.
- AMENDMENTS
CreativeHub may amend these Terms
at any time by posting the amended terms on www.CreativeHub.com
or by providing You with a copy of the amended terms by email or otherwise.
All amended terms shall automatically be effective once they are posted
on www.CreativeHub.com and shall apply to your activities regarding
the Site beginning on the date of such posting. Failure to comply
